1. Acceptance of Terms
Welcome to IMPRESSO. These Terms of Use ("Terms") are a legal agreement between you ("User" or "you") and Xobaedi Sàrl ("IMPRESSO," "we," "us," or "our"), a company based in Switzerland. By accessing or using the IMPRESSO mobile application ("App") or the IMPRESSO website (www.impressoapp.com) (collectively, the "Service"), you agree to be bound by these Terms and any additional terms applicable to certain programs in which you may elect to participate. If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years old to create an account on IMPRESSO and use the Service. By creating an account and using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3. Account Creation
To access the main functionalities of the Service, you must create an account using your email or social media login. You are responsible for maintaining the confidentiality of your login credentials and are solely responsible for all activities that occur under those credentials. Notify us immediately at contactus@impressoapp.com if you suspect any unauthorized use of your account.
4. Services Provided
IMPRESSO provides various features, including but not limited to:

Profile Validation: Users must validate their identity using official documents (passport, national ID, or driver’s license).

IMPRESSO Tokens (MOCA and ESSO): Virtual credits used for transactions within the app, such as purchasing features or profile validation.

Meetups: Facilitate professional meetups through the app, including meetings between users, recruitment agencies, and other interested companies.

Promoted Meeting Places: Suggest locations for meetups such as cafes and bistros.
-
Recruiter Node: Recruiters can access verified user data through a subscription model.
-
IMPRESSO NFT: Secure and share verified career data as digital assets.
-
Job Search and Job Feed: Tools for finding jobs and receiving job updates.

User Search: Tools for finding and connecting with other users.
-
News Feed: Provides updates and news related to professional development and networking.

University and Startup Collaboration: Collaborate with reputable universities and startups to help fresh graduates connect with the entrepreneurship domain.

Professional Networking: Allow users to create their own network of connections on the App.

Chat Engine: Enables users to message other users. The IMPRESSO bot can also chat with users, and group chats can occur between users and the bot.

IMPRESSO Bot: Auto-generate a list of connections to be added automatically for the user if the user opts for this feature. The bot will send connection invites and the user will see the connections in their list. The bot can also provide recommendations and engage in conversations.

Token Rewards: Users can earn token rewards for engaging with the app. These rewards and reward programs can change or stop at any time without prior notification to the users.

User Feed: Users can upload personal information, such as their name and photo, to their feed. IMPRESSO will strive to ensure that content is not abusive or disturbing, but we are not liable for such content. Users should report any abusive or disturbing content or behavior they encounter, whether in the user feed or in chats.

Skill Validation: Validate users' skills through peer-to-peer verification methods to ensure credibility.
Collaborations:

Cafes and Bistros: We collaborate with various cafes and bistros to promote them as meeting places for professional meetups.

Universities and Startups: We collaborate with reputable universities and startups to help fresh graduates connect with the entrepreneurship domain.

Recruitment Agencies: We work with recruitment agencies to facilitate connections between users and potential employers.
Validation of Educational and Professional Certificates:

Peer-to-Peer Verification: We validate educational and professional certificates, career history, and career achievements using peer-to-peer verification methods.

Validation Index: We use a tiering process called the validation index to indicate different levels of validation. A higher index suggests higher authenticity, but even at the highest index, there is room for errors and mistakes.

Disclaimer: We do not seek the original source of the item to be validated. Users should be aware that there is always a possibility of errors, and we are not liable for any misinterpretation of the validation results.
5. User Obligations
You agree to use the Service in compliance with these Terms and all applicable local, state, national, and international laws and regulations. You agree not to:

Use the Service for any illegal or unauthorized purpose.

Create multiple accounts or impersonate any person or entity.

Post any content that is offensive, defamatory, or violates the rights of others.

Use the Service to distribute spam or malware.
-
Engage in any activity that disrupts or interferes with the Service.
6. User Interactions and Safety
You are solely responsible for your interactions with other users, recruitment agencies, companies, and institutions. Use caution in all interactions, particularly if you decide to meet in person or share personal information. IMPRESSO does not conduct criminal background checks on its users. All discussions between users carry some risk, and you should not share any private information if you feel it may be risky. IMPRESSO takes no liability for any interactions or information shared between users. If you encounter abusive or disturbing content or behavior, whether in the user feed or in chats, report it immediately. Review and follow IMPRESSO’s Safety Tips available on the website.
7. IMPRESSO Tokens
IMPRESSO Tokens (MOCA and ESSO) within the app function as standard digital tokens similar to those in other gaming apps. These tokens are not blockchain-based tokens or cryptocurrencies by default. Users have the option to convert these standard digital tokens into blockchain-based tokens, which will then be stored in their Web3 wallet.
7.1 PRO Wallet and Web3 Wallet
The IMPRESSO app includes two types of wallets:

PRO Wallet: This wallet holds standard digital tokens (MOCA and ESSO) that can be used for in-app transactions.

Web3 Wallet: This wallet holds blockchain-based tokens (converted from standard digital tokens) and NFTs. These tokens and NFTs are managed using Web3 wallet services like MetaMask.
7.2 Conversion to Blockchain Tokens
Users may choose to convert their standard digital tokens (MOCA and ESSO) into blockchain-based tokens. Once converted, these tokens will reside in the Web3 wallet. The token names of both MOCA and ESSO are used for both types (standard digital and blockchain-based) of tokens, but their technology is different.
Attention: Only tokens purchased by converted to blockchain tokens. (e.g. Tokens of MOCA and ESSO received as rewards via the App cannot be converted to blockchain tokens.) Reward tokens can be utilized within the App from the PRO wallet.
7.3 Loss of Tokens
IMPRESSO takes no responsibility for any loss of your tokens due to your negligence or unauthorized access to your account. Examples of such circumstances include but are not limited to:

Tampering with the IMPRESSO app.

Jailbreaking your device.

Your device being hacked or compromised in any way.
-
Unauthorized transfers initiated from your account.
You are solely responsible for ensuring the security of your account and device. IMPRESSO is not liable for any unauthorized transactions, and any loss of tokens under these circumstances is the sole responsibility of the user.
7.4 Token Swapping
IMPRESSO tokens (MOCA and ESSO) will soon be available for swapping with other cryptocurrencies through Decentralized Exchanges (DEX) and Centralized Exchanges. Users should be aware that once tokens are in the Web3 network, their prices can fluctuate significantly. Users with financial motivations for these tokens should be aware of such risks. IMPRESSO is not liable for any price fluctuations or market conditions.
8. Web3 Wallet and NFT Integration
IMPRESSO incorporates the use of Web3 wallets, such as MetaMask and similar services, for managing cryptocurrencies, tokens, and NFTs. By using these wallets within the Service, you agree to the following:

Secret Keys: You are solely responsible for remembering and securely storing your secret keys. IMPRESSO does not store, have access to, or manage your secret keys.

Loss of Keys: IMPRESSO is not responsible for any loss resulting from forgotten, misplaced, or stolen secret keys. If you lose access to your secret keys, you may lose access to your wallet and any cryptocurrencies, tokens, or NFTs stored within it.

Wallet Security: You are responsible for the security of your Web3 wallet. IMPRESSO does not take responsibility for any loss of cryptocurrencies, tokens, or NFTs due to unauthorized access or security breaches of your wallet.

Transactions: All transactions conducted using your Web3 wallet are final. IMPRESSO does not have the ability to reverse or refund any transactions made through these wallets.

NFTs: Any NFTs managed through your Web3 wallet are your responsibility. IMPRESSO is not responsible for any loss, theft, or unauthorized access to your NFTs.
9. Content and Data
By creating an account and posting content on the Service, you grant IMPRESSO a worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to use, copy, modify, distribute, and display your content in connection with the Service. You represent and warrant that you own or have the necessary rights to post such content.

Or send us an email as per the contact us information in this document, please use the same email address you registered with us. If you used your APPLE ID to sign up and did not provide us with your email, you are requested to verify your email address with us using the IMPRESSO App so that we can know that it is really you.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which is provided in a separate document and describes how we collect, use, and disclose your information. By using the Service, you consent to our collection and use of your data as outlined in the Privacy Policy.
11. Modifications and Termination
IMPRESSO reserves the right to modify or discontinue the Service, or any portion thereof, at any time, with or without notice. We may also terminate or suspend your account if you violate these Terms or engage in any conduct that we determine to be inappropriate or harmful.
12. Disclaimers
The Service is provided "as is" and "as available" without any warranties of any kind, either express or implied. IMPRESSO disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. IMPRESSO does not guarantee that the Service will be uninterrupted, secure, or error-free.
13. Limitation of Liability
To the fullest extent permitted by law, IMPRESSO, its affiliates, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
14. Indemnification
You agree to indemnify, defend, and hold harmless IMPRESSO, its affiliates, officers, agents, and employees from any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way related to your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved exclusively by the courts of Lausanne, Switzerland.
16. Global Availability and Use
The IMPRESSO App is developed and intended for use in Switzerland. However, it is available globally through distribution platforms such as the Apple App Store and Google Play Store. Use of the App outside of Switzerland may carry certain risks, and IMPRESSO does not accept any liability for any use that may violate local laws or regulations. It is the responsibility of the user to ensure that the use of the App complies with the laws and regulations applicable in their location. If you believe that the App does not comply with your local laws, you should stop using it and remove it from your device.
17. IMPRESSO Bot
The IMPRESSO bot can assist with generating connection lists, chatting with users, and participating in group chats. While we strive to ensure the bot's accuracy, it may make mistakes. IMPRESSO takes no liability for any errors, omissions, or recommendations made by the bot. Users should exercise caution and use their judgment when interacting with the bot.
18. Miscellaneous

Entire Agreement: These Terms, along with the Privacy Policy and any additional terms to which you agree when using particular elements of the Service, constitute the entire agreement between you and IMPRESSO regarding the use of the Service.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

Waiver: The failure of IMPRESSO to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without the prior written consent of IMPRESSO. IMPRESSO may assign or transfer its rights and obligations under these Terms without restriction.
